Who this agreement is with

InvoiceAloud is made by Vantalyst Labs Inc., a company registered in Delaware in the United States. When this page says "we" or "us," that is who it means. When it says "you," it means you, and your business if you are using it for one.

By joining the waitlist, making an account, or using the app, you agree to what is on this page. If you do not agree with something here, do not use it, and tell us why at support@invoicealoud.com. We read those.

This page and the Privacy Policy are the whole agreement between us. Nothing said in an ad, an email, or a social post changes it.

2

The waitlist

The app has not launched. Right now, all you can do on this website is give us an email address so we can tell you when it does.

Being on the waitlist does not reserve you anything, does not lock in a price, and does not entitle you to early access. It means you get an email. You can leave the list at any time using the unsubscribe link in any of them.

We do not promise a launch date. Anything you read about what the app will do is what we are building, not a guarantee of what will ship.

3

Your account

4

What InvoiceAloud does, and what it does not do

You describe a job out loud. The app turns that into invoice line items with quantities and prices, shows them to you, and sends the invoice as a PDF once you approve it.

Here is what it is not:

5

You check the invoice. This one matters.

The app works out line items from dictated text, and dictation gets things wrong. Your phone can mishear a number, and the app can split one item into two or misjudge whether something was an hour or a unit. That is why every invoice comes back to you first, editable, with a running total, and anything the app is unsure about gets flagged instead of guessed at.

Once you press send, the invoice is yours. You are responsible for what is on it: the amounts, the tax, the customer details, and whether it is right. We are not responsible for an invoice that went out with the wrong number on it, and we cannot be, because you approved it.

We say this plainly rather than hiding it, because an invoice with a wrong number costs you money and trust with your customer. Read the total before you send it.

6

Your content stays yours

Your invoices, your line items, your logo, your signature, your customer list. All yours. We do not claim ownership of any of it.

You give us permission to store it, process it, and send it, only so we can run the service for you. That permission ends when you delete the content or your account, except where we have to keep a record for tax reasons. There is more detail on that in the Privacy Policy.

The app itself, the name, the logo and the way it works are ours. Using it does not transfer any of that to you.

7

How you may not use it

If you do any of these, we can suspend or close your account. Where we can, we will tell you first and give you a chance to explain.

8

Money, plans and cancelling

The promises on our home page are part of this agreement, not marketing. Here they are again as terms.

Free to start

You can make your first invoices without giving us a card. We tell you before anything costs money.

No weekly billing

Plans are monthly or yearly. There is no weekly charge, and there is no introductory rate that quietly doubles later.

Price changes

If we change the price of your plan, we will email you at least 30 days before it takes effect, and it will not apply until your next renewal. If you do not want the new price, cancel before then and you will not be charged it.

Cancelling

You can cancel inside the app, in two taps. No phone call, no email, no retention offer, no cancellation fee. Your plan runs to the end of the period you already paid for, and then stops.

Your data after you cancel

Every invoice you have made is still there. You can sign in and read or export it. We will not hold your invoices hostage to make you resubscribe.

Refunds

If you cancel part way through a period, we do not automatically refund the rest of it. If something went genuinely wrong on our end, email us and we will sort it out. We would rather refund you than argue with you.

Who takes the payment

Payments are handled by Stripe. Your card details go to Stripe and never to us. If you buy through Apple instead, Apple's own refund and cancellation rules apply to that purchase, and you manage it in your Apple account settings.

9

Ending it, from either side

You can stop using InvoiceAloud whenever you like, and delete your account from inside the app.

We can close your account if you break section 7, if you do not pay, or if we shut the service down. If we ever shut it down, you will get notice and time to export your invoices. We will not simply switch it off one morning.

10

Availability, and what we do not promise

We will work to keep InvoiceAloud running and to fix things quickly when they break. We are not promising it will never go down, never lose a connection, or never have a bug. It is a young product built by a small company, and it will have rough edges.

The service is provided as it is. We do not guarantee that it will fit your particular way of working, that dictation and line items will be accurate every time, or that it will be free of errors.

Keep your own copy of anything you cannot afford to lose. That is good practice with any software, including ours.

11

Limits on what we owe you

If something goes wrong and it is our fault, the most we owe you is the amount you paid us in the 12 months before it happened. If you have not paid us anything, that amount is nothing.

We are not responsible for money you did not make, work you lost, or a customer who did not pay, even if it followed from a problem with the app.

Some places do not allow a company to limit its responsibility this far. If you live somewhere like that, these limits apply only as far as the law there allows, and nothing here takes away a right you have by law.

12

Changes to these terms

We will update this page as the product changes. Small corrections get a new date at the top. Anything that actually affects you, especially anything about money, gets an email at least 30 days before it takes effect.

If you keep using InvoiceAloud after a change takes effect, that counts as accepting it. If you do not accept it, cancel before then.

13

Which law applies

This agreement is governed by the law of the State of Delaware in the United States, without regard to its conflict of law rules. Any dispute that cannot be settled between us goes to the state or federal courts in Delaware.

If a court decides one part of this page cannot be enforced, the rest of it still stands.

Before anyone goes near a court, email support@invoicealoud.com. Almost everything is fixable that way.
